**Agreement of Use:** By accessing and utilizing the **Alpha Orbit** website and its services, you are implicitly agreeing to all the terms, conditions, and disclaimers contained within this Privacy and Legal Policy. If you do not agree, you must cease use immediately.
CRITICAL DISCLAIMER: CLIENT AND LEGAL RESPONSIBILITY
**Alpha Orbit** assumes no legal responsibility for the content, business model, actions, or criminal misuse of any website, application, or software built, developed, or maintained for a client. Once a project is delivered and accepted, the client assumes full and exclusive legal liability for its operation, regulatory compliance, and all subsequent activity. This includes, but is not limited to, compliance with international laws, data handling regulations (like GDPR), and freedom from illegal content or promotion.
1. Service & Financial Terms
1.1 Project Liability, Hosting, and Third-Party Failures
**Alpha Orbit** provides development and consultancy services only. We are **not responsible for the operational stability, infrastructure downtime, or data loss caused by third-party services** used in your project, including: hosting providers, domain registrars, payment gateways, cloud infrastructure (AWS, Vercel, etc.), or external API providers. Any issues arising from these services must be resolved directly with the respective third party. We strongly advise clients to maintain independent backups of all critical data.
1.2 Payment Terms and Project Confirmation
- All custom development projects require a **non-refundable 50% initial payment** upon formal order confirmation to secure project scheduling and resource allocation. This payment is forfeit if the client cancels the project.
- Work commences only after the 50% confirmation payment is received. The remaining balance is due upon project completion and prior to final deployment and handover.
- Pricing for services is based on the scope, complexity, and specialized skills required, as detailed in your final proposal.
2. Digital Products (Shop) Terms
2.1 Ownership, Licensing, and Resale Disclaimer
We offer a wide array of digital products. **Alpha Orbit** does not claim sole, absolute ownership of every item sold. Some products are original creations, while others are legally sourced, licensed, or **resold/repackaged** under developer or affiliate agreements. The price charged primarily reflects the significant time and effort spent on **finding, curating, arranging, organizing, testing, and supporting** these assets for your convenience. **We are not promoting piracy; all sales are for informational or licensed use.**
2.2 Educational and Informational Use
Certain software, prompt packs, courses, or informational assets are sold strictly for **educational, experimental, and informational purposes only**. We expressly do not endorse, promote, or encourage hacking, illegal circumvention of licensing, or criminal activities. The buyer is **solely responsible** for verifying the legal, ethical, and appropriate use of any product in their jurisdiction and for their business application.
2.3 Refund and Delivery Policy
- Due to the nature of digital goods (instant download and duplication), **all sales are final. We maintain a strict "no refund, no return" policy** once the purchase is complete and the download link is generated.
- Digital download links are provided immediately upon purchase. **Download links have a strict 24-hour validity window** to prevent unauthorized sharing. It is the buyer's sole responsibility to download the files within this time frame. We are not responsible for links that expire after this period due to client delay.
3. Employment and Freelancer Terms
3.1 Employee Status and Ownership
All individuals associated with **Alpha Orbit** as employees or freelancers (including developers, interns, designers, etc.) operate in a **work-for-hire and contractual capacity**. **Employees and freelancers do not receive any direct ownership, equity, or proprietary interest in Alpha Orbit.** We retain full ownership of all IP created during employment/contractual terms.
3.2 Compensation and Productivity
Compensation, including salaries and project payments, is transparently determined and based solely on the individual's **professionalism, verifiable work experience, specialized skills, and demonstrated productivity and measurable output** delivered to **Alpha Orbit** and our clients.
3.3 Misconduct and Independent Action
**Alpha Orbit** is **not legally responsible for any illegal, unethical, or unauthorized actions performed by our employees or freelancers** that are outside the scope of their direct contractual duties for **Alpha Orbit**. Any individual engaging in illegal activity does so independently and assumes all personal and legal liability, with no recourse to the company.
